The Booster Club meets the second Sunday of the month August through May at 6:30 PM in The Warehouse Meeting Room (S. Second Street, downtown Bennington).

Minutes of previous meeting
Minutes of the September 11, 2011 meeting were accepted as presented.
Treasurer’s Report:
Chris Burchell reported the following account balances:
General /Concessions Checking Account Balance: $6,075.57, Clothing Checking Account Balance: $1,373.58, Scholarship Fund Savings Account: $4,503.23. A trial balance sheet listing a summary of expenses and income was also presented.
Old Business:
Clothing
Clothing Chair, Linda Milliken reported that orders are being taken for wrestling and boys and girls basketball. Booster Club clothing items (hat and mittens, tie, etc.) will be donated to the Festival of Trees (a benefit which the Bennington Women’s Club and Friends of the Library host at St. Johns for the Bennington Public Library building fund on November 18 & 19). Linda will organize Booster clothing sales during several home basketball games this winter.
Concessions
Darin will schedule a date to cleanout football concession stand. Thoughts shared regarding fall concessions included: Sales were down this year due to small away team crowds and the number of home games. Sales are expected to pick up next year with more home games on the fall schedule. Offering hamburger and hotdog meals seemed to go very well.
Buttons
A volunteer is needed to make buttons. Darin will contact Chris Melvin about volunteering for this task.
Sports Awards Night
The Fall Sports Awards Night is November 20 at 6:00 PM in the commons. 6:00-6:30—desserts will be served (the Boosters will provide cake, ice sundaes & floats, coffee, lemonade, and water). Concession stand will be open for pop sales only. Program will begin at 6:30. Mr. Spoehr reported 171 students participated in high school sports this fall. Volunteers are needed to set up decorations on Sunday at 1:30 pm.
Bylaws
The proposed changes to the bylaws were reviewed. A motion was made, seconded and carried to make changes of the bylaws as presented with minor changes to correct the numbering of Articles VII – XII.
Pictures for programs and buttons
Chris Burchell will contact Kurt Sowers about taking winter team and individual pictures for the sports programs and buttons.
Booster Club Scholarships
Robyn will see that Mr. Rischling receives the criteria for Booster Club Scholarships and that it is published in the Happenings Newsletter. The Booster Club Executive Board at a meeting last summer outlined the criteria for awarding Booster Club scholarships to graduating seniors. One of the requirements requires applicants’ family to be booster club members.

A volunteer is needed to manage and/or reorganize the current Booster Club website. It is currently run through WordPress.com courtesy of Dori Settles. Lisa and Dori are currently the only administrators for the site.
Staffing for concessions
Robyn will contact Heather Goertz about winter sports scheduling strategies. It was suggested that the scheduling calendar be made available for volunteers to sign up at the upcoming Fall Sports Awards event Sunday, November 20.
Post Prom will be working the concession stand at Friday’s Post Prom fundraiser. It was moved, seconded and carried to make an exception to the normal policy (40/60) to share the proceeds 50/50 with the Post Prom committee.
A motion was moved, seconded and carried to make the concession stand 40/60 profit share an official policy of the Booster Club–that is, non-Booster Club organizations who volunteer to run the concession stand will be given a 40% share of the profits with a maximum $500 annually per organization.
The concession stand will sell grilled hamburgers on the following dates: 12/3/2011, 1/7/2012, and 1/21/2012.
It was agreed that the Booster Club should begin selling cotton candy during the winter sports season and that a non-booster group will be sought to volunteer for the task and share in the proceeds 40/60. Darin will contact Coach Schumm regarding the X-country team as a possible group.
The next Booster Club meeting is January 8, 2012 at 6:30 in The Warehouse meeting room.

Constitution and Bylaws of the Bennington Athletic Booster Club
Article I Name
The name of this organization shall be the “Bennington Athletic Booster Club”, hereinafter referred to as the Booster Club.
Article II Purpose
The purpose of the Bennington Athletic Booster Club is to promote and support athletics at Bennington High School in an atmosphere that is consistent with the mission and purpose of the Bennington High School.
Article III Membership
Section 1: Membership shall be open to any person nineteen years of age, or older, who is interested in promoting athletic programs of Bennington Public Schools.
Section 2: Annual Membership dues shall be paid to the Booster Club Treasurer, with the amount of said dues to be determined by the Executive Board annually.
Section 3: The Bennington Booster Club will not discriminate on the basis of race color, creed, religion, national origin, ancestry, gender, sexual orientation, age or disability.
Section 4: Correspondence between members will be via the website, email and monthly meetings.
Article IV Officers
Section 1: The officers of the Booster Club shall consist of the President, Vice President, Secretary and Treasurer.
(a) Election. The officers shall be elected by a majority of the voting membership present at the Annual General Membership Meeting. All elected officers and standing committee chairs shall be current members of the Booster Club.
(b) Nominations. The President, with concurrence of the Executive Board, shall present a slate of nominees (who have agreed to serve) for positions of officers with reasonable notice prior to the Annual Meeting. Additional candidates may be nominated from the floor at the Annual Meeting.
(c) Terms of Office. A term of one fiscal year, July 1 through June 30. An individual may not serve in the same elective capacity for more than four consecutive terms,
(d) Vacancy. The President, with the approval of the Executive Board, shall appoint any officer vacancy, other than the Presidency. A vacancy of the office of President shall be filled by a majority vote of the Executive Board at their first meeting after the vacancy occurs.
Section 2: The duties of Officers
(a) President. The President shall:
(1) Preside over all regular and special meetings of the Bennington Booster Club and the Executive Board;
(2) Sign all orders duly presented by the Booster Club
(3) Appoint all committees and committee chairpersons.
(4) Call special meetings as necessary to conduct the business of the Association.
(b) Vice President. The Vice-President shall:
(1) Organize and be responsible for the membership drive.
(2) Assist the President in all activities and assume the duties of the president in his/her absence.
(c) Secretary. The Secretary shall:
(1) Keep a complete record of the regular and called special meetings of the Bennington Booster Club and Executive Board. Provide copies to the webmaster for posting on website.
(2) Send notices of the meetings and shall be responsible for the general correspondence of the organization.
(3) To keep an accurate list of the current year’s membership.
(d) Treasurer. The Treasurer shall:
(1) Keep an accurate account of all money received and disbursed.
(2) Be responsible for the deposit of all gross earnings into the Booster Club’s checking account, and pay all bills upon authorization of the general membership and/or the Executive Board.
(3) Issue appropriate receipts.
(4) Keep an accurate list of all donations made to the Bennington Booster Club.
Article VExecutive Board
Section 1: The affairs of the Booster Club shall be managed by its Executive Board. The Executive Board shall operate within the Constitution and By-Laws of the Bennington Booster Club. All Powers, responsibilities and duties of the organization not otherwise assigned by this Executive Board shall rest with the Executive Board.
Section 2: The Executive Board shall consist of the President, Vice President, Secretary, Treasurer, Athletic Director of Bennington High School and one chair from each standing committee as defined in Article VI.
Section 3: The Executive Board shall conduct necessary business in the intervals between general membership meetings. The Board in cooperation with the Bennington High School Staff and with input from the general membership will develop goals and objectives for consideration of the general membership.
Section 4: No member of the Executive Board shall receive any salary or compensation.
Article VI: Meetings
Section 1: General membership meetings of the organization shall be held monthly during the school year. Members shall be informed of the date, time and location of meetings via email, Booster webpage and/or school announcements.
Section 2: Special meetings of the Executive Board may be called at any time by the President upon reasonable notice to each Board member.
Section 3: The Executive Board shall hold an Annual Meeting including all members, to be held during April of each year at such a place as shall be directed by the President.
Section 4: A quorum for transaction of business at General Membership Meetings shall be five percent (5%) of the families with a current annual paid membership. A quorum for Executive Board Meetings shall be a simple majority. In all voting instances, majority rules for those present.
Article VII: Committees
Committees necessary for the proper operation of the Booster Club may be established by the President. All committees will be over seen by the Executive Officers.
Section 2:
(a) Concession Stand Committee: Responsible for the purchasing and ordering of items for sale in the concession stand.
(b) Volunteer Scheduler Committee: Organize volunteers for the staffing of the concession stands and other Booster Club activities.
Clothing Committee: Decide order and receive purchased clothing items for sale, fill website orders, sell during gamesAthletic Awards Event Committee: Responsible for organizing athletic awards events. Auditing Committee: shall consist of two general members appointed by the President to audit the accounts and ledger of the Treasury annually. Sponsorship Committee: Responsible for soliciting sponsorship advertisement donations from individuals, businesses and organizations in the greater Bennington community.
Article VIII Finances
Section 1: The Board may authorize any officers of the Booster Club to enter into any contract or execute and deliver any items in the name of and for the purposes of the Booster Club, and such authority may be general or confined to specific instances.
Section 2: All checks, drafts or orders for the payment of money, notes or other evidences of indebtedness issued in the name of the Booster Club, shall be signed by such officer or officers of the Booster Club in such manner as shall from time to time be determined by resolution of the Board.
Section 3: All funds of the Booster Club shall be deposited promptly to the credit of the Booster Club in bank or other reputed financial institution(s) as the Board may select.
Section 4: The Board may accept on behalf of the Bennington Booster Club any contribution, gift, bequest or devise for the general purposes or for any special purpose of the Booster Club. A letter that provides written assurance about the organization’s tax exempt status and its qualification to receive tax-deductible charitable contributions will be sent to donors upon request.
Section 5: The fiscal year of the Bennington Booster Club shall begin the first day of July and end on the last day of June of each year.
Section 6: The Bennington Booster Club shall be a non-profit organization and no part of the net earnings of the Booster Club shall inure to the personal benefit or be distributable to, any of its members, officers or other private persons, except that the Booster Club shall be authorized to pay reasonable compensation for services rendered and to make payments and distribution in furtherance of the exempt purposes.
No substantial part of the activities of the Bennington Booster Club shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Booster Club shall not participate in or intervene in any political campaign on behalf of or in opposition to any candidate for public office.
IX Board Member Liability
The private property of Executive Board members shall not be subject to payment of the Booster Club debts or liabilities of any kind and each Board member shall be exempt from any liability whatsoever therefore and this provision of this Article shall not be subject to amendment or revision by operation of the law or otherwise.
Article X Waiver of Notice
Whenever any notice is required to be given under provisions of the Constitution of the By-Laws of the Booster Club, a waiver thereof in writing signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice.
Article XI Amendments to Constitution and By-Laws
This Constitution and By-Laws may be altered, amended or repealed and new By-Laws may be adopted by a majority of the Booster members present at any regular meeting or any special meeting, if at least ten days written notice is given of intention to alter, amend or repeal or to adopt new By-Laws at such meeting. The specific alteration or amendment shall be set forth in writing and given to each member of the Executive Board, as well as the entire membership, at the time that the above referred notice is served.
XII. Dissolution of Club
Should the Bennington Athletic Booster Club cease to operate, after paying or adequately providing for the debts and obligation of the Booster club, any remaining assets shall be distributed to Bennington Public Schools for the purposes set forth in Article II.

Penny Collier distributed printed posters of the fall sports schedule. She also presented a list of sports program sponsors and reported $4,500 in sponsorships has been collected to-date.

Membership Drive
Booster Club Kickoff Party is Friday, August 19 at 8:00 pm at The Warehouse (upstairs ballroom). Booster members who attend will be given 2 drink tickets and a chance to win door prizes including a flat screen TV. Raffle drawings will be held every 15 minutes as well as a chance to answer Badger trivia questions. Members who sign up that evening to work an upcoming concession stand shift will be given an additional raffle ticket. Bart Reynoso will be the MC. In addition, a Blue Envelope fundraiser will be coordinated by Penny Collier. Flyers will be distributed at the football sports drink scrimmage. Booster Club membership applications will be at the party as well as available at concessions stands throughout the year.
Concessions for Friday Evening
A full concession stand will be open at 5:00 pm for Friday’s sports drink scrimmage and Jaycee’s Punt, Pass & Kick contest which is held at the field prior to the scrimmage. Youth football team pictures are also schedule at the field that afternoon.
Team & Individual Sports Photos
Chris Burchell reported on the schedule for team photos for the sports programs and buttons this Thursday and Friday. Kurt Sowers has offered to take the individual athlete pictures for the buttons and team displays in the gymnasium. A photographer from the Douglas County Post-Gazette newspaper will take the team pictures for the sports programs.
Booster Club General Membership Meetings
After discussion of the availability of meeting dates and locations, it was agreed to hold general membership meetings on the Second Sunday of the Month at 6:30 PM at The Warehouse (meeting room). The next Booster Club General Membership meeting will be held Sunday, September 11 at 6:30 PM at The Warehouse.
Athletic Awards Night Schedule
Mr. Spoehr reported on available dates for the end of the season Athletic Awards Nights. The Awards Nights schedule will be as follows:
Fall Sports–November 20, 2011 at 7:00 PM
Winter Sports—March 25, 2012 at 7:00 PM
Spring Sports—May 15, 2012 at 7:00 PM
Booster Club End of Year (2010-2011) Team Sports Donations
Robyn Reynoso reported on the status of how each BHS sports program has spent or is planning to spend its donation:

Recruiting new members/volunteers
Ideas for recruiting new Booster members was discussed. Ideas included holding a family event such as a picnic, give away travel mugs with hot chocolate, have membership application forms at the concessions stands throughout the year, and recruit members year-round, not just at school registration.
Clothing Sales Report
Linda Milliken reported fall registration clothing sales as follows:
$5,095 in 2011 ($384 at 7th grade orientation)
$2,594 in 2010
Theresa Haack agreed to man a special teacher day clothing sale at the high school this week.
Discussion of clothing orders/sales for all sports-related apparel was discussed. Boosters have requested all clothing sales/clothing orders (including state championship apparel) be coordinated through the Booster Club in order to avoid duplication, and to ensure equity of Booster Club support for all programs, etc. Robyn Reynoso will draft a memo for Mr. Spoehr to communicate this to all BHS sports team coaches.
The need for an ice machine for the concession stand was discussed. Boosters spent an average of $50 weekly in ice purchases last fall. No action was taken.
